Urban Oasis Seller Agreement

Before registering as a Seller and accessing the services offered by Urban Oasis (“we” or “Urban Oasis”) on our website www.urbanoasis.com (the “Site”), you must read and accept all sections of this Agreement. This Agreement becomes effective immediately for current Sellers and upon acceptance by new Sellers. As used herein, “Seller” means any party who opens a shop on the Site, and “Buyer” refers to any party who registers to shop online.

1. Our Authority

We reserve the exclusive right to operate and manage the Site. We may remove any item, image, or post from the Site at our sole discretion and without notice. We are not obligated to honor Seller requests for removal of content. We are not responsible for resolving disputes between Buyers and Sellers. Sellers are expected to address issues directly. However, we may investigate complaints at our discretion and require Sellers to respond accordingly. We reserve the right to refuse service, reject applications, and discontinue services at any time, especially due to unprofessional behavior, Buyer complaints, or failure to meet listing standards.

2. Seller Representations and Covenants

By using our services, you represent that:

  • You are legally able to enter into binding agreements.

  • You own the products and content (including intellectual property) you list.

  • Your registration and product information are accurate and complete.

You agree to:

  • Act in good faith with Urban Oasis and Buyers.

  • Honor your sale terms and follow Site policies.

  • Conduct yourself professionally on the platform.

  • Pay all applicable sales taxes related to your sales.

  • Register with your real, verifiable name and cooperate with any verification checks.

You agree not to:

  • Harass Buyers or other Sellers, or post false or defamatory content.

  • Circumvent Urban Oasis fees or taxes by conducting off-platform transactions.

  • Use content from the Site without permission.

  • Engage in spam, hacking, or other technology abuse.

  • Violate laws, third-party rights, or Site policies.

We may terminate your access to the Site without notice if you breach any of these terms.

3. Fees

By using our services, you agree to pay the applicable fees listed on our Seller Charges and Fees page. In jurisdictions where required, we may collect sales taxes from you by charging your payment method or through other available means.

4. Release of Claims

Urban Oasis acts solely as a venue for Sellers and Buyers. We are not involved in transactions between them. You release Urban Oasis (and our employees, officers, and agents) from any claims related to disputes with other users. If you reside in California, you waive California Civil Code §1542.

5. Intellectual Property Rights

This Agreement does not transfer any intellectual property rights in our trademarks, logos, Site, or original content, all of which remain the exclusive property of Urban Oasis.

6. Content License

By uploading content to our Site, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use it, including copyright, publicity, and database rights, in any media now known or later developed.

7. Termination

This Agreement can be terminated by either party at any time. Upon termination, you agree to stop using the Site as a Seller.

8. Limitation of Liability

We are not liable for actions or inactions of Buyers or Sellers. We do not guarantee transactions or payments. To the extent permitted by law, Urban Oasis is not liable for personal injury, lost profits, data loss, business interruption, or any indirect or consequential damages. Our total liability shall not exceed the fees you have paid to us in the past twelve months.

9. Disclaimer of Warranties

OUR SITE AND SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted service, defect corrections, or specific functionality. Some jurisdictions do not allow exclusion of implied warranties, so parts of this disclaimer may not apply to you.

10. Indemnification

You agree to indemnify and hold Urban Oasis (including our employees and representatives) harmless from any third-party claims resulting from your breach of this Agreement or your violation of laws or rights.

11. No Agency

This Agreement does not create a joint venture, partnership, employment, or agency relationship between you and Urban Oasis.

12. Governing Law; Severability

This Agreement is governed by California law. If any provision is deemed unenforceable, the rest remains in effect.

13. Venue

All disputes shall be resolved in the courts located in San Francisco County, California. You consent to personal jurisdiction in these courts.

14. Notices

Notices may be sent via email or U.S. mail. Email is deemed delivered 24 hours after sending unless returned as undeliverable. Mail is deemed delivered 7 days after posting. Our notice address is:

15. Entire Agreement

This Agreement is the entire agreement between you and Urban Oasis regarding Seller use of the Site, superseding all prior communications unless additional terms apply to specific services.

16. Additional Policies

You agree to follow all posted policies on the Site, which may be updated from time to time without notice. Continued use implies agreement with those updates.

17. Amendments

We may update this Agreement at any time by posting changes to the Site. You must accept updates before continuing to use the Site.

18. Arbitration

Disputes shall be resolved through binding arbitration in San Francisco, CA, administered by JAMS. The arbitrator may award damages, costs, and attorneys’ fees. Arbitration is final and binding.

19. Survival

Sections 2 through 21 of this Agreement shall survive termination.

20. Headings

Headings are for convenience only and do not affect interpretation.

21. Waiver

Failure to enforce any term does not waive the right to enforce it later.

 

More Details on Seller Charges and Fees

Your shop fees are automatically deducted from your pre-funded Urban Oasis Account when you have an Amount Due.

All shops are required to:

  • Add a credit or debit card to their account.

  • Enroll in AutoPay.

These payment methods will be used to cover:

  • Monthly maintenance fees (if applicable)

  • Other charges

  • Seller fees

  • Sales tax not sent via PayPal (e.g., for check payments or layaway orders)


Accepted Payment Methods to Fund Your Urban Oasis Account

You can fund your Urban Oasis account using PayPal or one of the following cards:

  • Visa

  • MasterCard

  • American Express

  • Discover

  • Debit cards with Visa or MasterCard logo


Set Up a Credit Card

  1. From your Shop Accounting page, click Payment Credit Card from the menu.

  2. Enter your credit card details.

  3. Once added successfully, you’ll see:

    Your Credit Card information has been successfully updated.

You can now use your credit card to pay for Urban Oasis charges. Charges will appear as “Urban Oasis, Inc” on your credit card statement.


Update Credit Card

  1. From the Shop Accounting page, click Payment Credit Card.

  2. Click the card that needs to be updated.

  3. Enter your updated card details.

  4. Click the red UPDATE CARD button.

  5. Once updated, you’ll see:

    You are now enrolled in AutoPay and can use your Credit Card for Urban Oasis charges.


Set/Modify AutoPay

If your Urban Oasis Account balance does not fully cover the Amount Due, we will bill your credit card on file for the remaining amount plus any Additional Amount you set, with a minimum charge of $10.

AutoPay is processed daily between Midnight and 6 AM Pacific Time.

To set up AutoPay:

  1. From your Shop Accounting page, select Fund Account.

  2. Click AutoPay.

  3. Choose the option:

    When my balance due drops below $0, charge my credit card for the balance due plus the Additional Amount.

  4. Enter the Additional Amount (optional).

  5. Click the red Set AutoPay button.


Manual Payments

You may manually fund your shop account using PayPal or the credit card on file. This helps avoid multiple small AutoPay charges.

Credit Card Payment

  1. Go to Fund Account from the Shop Accounting page.

  2. Under Payment Method, select Credit Card.

  3. From the Payment Amount dropdown, choose an amount (minimum $25) and click PAY NOW.

  4. On the confirmation page, click Charge Card to proceed.

  5. To cancel or edit, click Cancel.

PayPal Payment

  1. Go to Fund Account from the Shop Accounting page.

  2. Under Payment Method, select PayPal.

  3. Choose your desired Payment Amount (minimum $25) and click PAY NOW.

  4. On the next screen, confirm by clicking CHARGE PayPal.

  5. Click Cancel to go back if needed.
